How the filing runs

Confirm eligibility

Every member must be a primary producer. We verify member eligibility first, because the Registrar examines this closely.

Name and objects

The name is reserved and the objects are drafted around permitted producer activities such as procurement, processing, grading and marketing.

Incorporation filing

SPICe+ is filed with member and director details, MOA and AOA.

Governance setup

Board structure, member registers and the patronage based distribution framework are put in place.

Membership eligibility is where applications fail

A Producer Company can only have primary producers as members, meaning people engaged in production of primary produce. Applications are routinely queried where member documentation does not establish that clearly. Land records, farmer identity documents or evidence of the production activity should be assembled before filing rather than in response to a query, because a query adds weeks to an already long timeline.

Common questions

Only primary producers, either as individuals or as producer institutions. Non producers cannot hold membership, which is the defining restriction of the structure.

A Producer Company is registered under company law with corporate governance and nationwide operation, while a cooperative society is registered under state law with heavier state control.

Distribution is linked to patronage, meaning the business each member does with the company, rather than purely to shareholding.

Yes. FPOs registered as Producer Companies are the preferred vehicle for several central and state promotion schemes.

The same as any company: audited accounts, ROC annual filings, income tax return and director KYC.
