We draft the MOA and AOA around your actual business objects, then file SPICe+ with AGILE-PRO and INC-9.

Incorporation

The Registrar issues your Certificate of Incorporation with CIN, PAN and TAN. You can then open the company bank account.

A Private Limited Company carries annual obligations from the moment it exists: auditor appointment within 30 days, commencement of business filing within 180 days, annual ROC returns, income tax returns and director KYC. Penalties for late filing accrue daily and are not waived. We track every due date for the companies we incorporate and tell you before each one falls due.

The total has two parts: our professional fee and the government fees, which vary by state stamp duty and authorised capital. We give you both figures in writing before any work begins, so the invoice matches the quote.

No. You can register at a residential address, including your own home, provided you can produce a utility bill and a No Objection Certificate from the owner. The address can be changed later.

There is no minimum paid-up capital requirement. Most companies start with a nominal authorised capital, because higher authorised capital increases the government fees and stamp duty payable at incorporation.

Yes, but at least one director must be resident in India, meaning someone who has stayed in India for 120 days or more in the previous financial year. Foreign directors file using passport and overseas address proof.

Choose Private Limited if you expect to raise outside investment or issue ESOPs, because investors will not fund an LLP. Choose LLP if you want lighter annual compliance and no audit requirement below the turnover threshold.
